Practice Areas
R. Paul Faxon advises developers, landlords, institutional lenders and private parties on a full range of real estate transactions and land use concerns involving office, retail, industrial and residential properties. In acquisitions and dispositions, along with secured financing and leasing, Paul 's representation focuses on implementing and expanding his client's business deal in a manner that avoids unproductive negotiations and stressful closings.
In the area of business law, Paul helps privately held companies establish and maintain a legal structure for their businesses that facilitates their success and protects the principals. His representation includes evaluation and formation of business entities designed to limit the taxation and personal liability of principals while clearly setting out the rights and responsibilities of all owners in order to limit future conflicts. In the area of contract law, Paul implements his clients' bargain with employees, customers, subcontractors, lenders, landlords and business sellers or buyers while simultaneously strengthening the relationship between the parties.
Paul works with parties to resolve disputes outside the civil litigation system in the areas of closely held business restructurings and break ups as well as commercial real estate. In these situations, he can serve in one of several capacities: non-litigation legal advocate in the traditional model, Collaborative Law practitioner, or neutral mediator.
Professional Experience
Prior to joining The New Law Center, LLC as of counsel, Paul was a founding partner of Faxon & Laredo, LLP. He has overseen the legal aspects of well over 350 real estate transactions, from the purchase of shopping centers and acquisition/development/sell-out of residential subdivisions, to negotiating multiple leases for office complexes. In the area of corporate law, Paul has represented various service, high-tech and manufacturing businesses -- from forming corporations and limited liability companies, to negotiating the terms of equity investments in closely-held businesses and acquiring privately held corporations.
Community and Professional Activities
Paul is a member of the Massachusetts Bar Association and Massachusetts Conveyancers Association. He is also a manager of a family real estate limited liability company and member of the board of directors of the Massachusetts Collaborative Law Council, Inc. Paul has published articles in numerous legal and trade publications as well as speaking at continuing legal education seminars. |
